User Agreement for Recruiting Professionals and Hiring Organizations
Before you enter the Site (the Site) or use any of the iViioo services (the Service), please carefully review these
Terms and Conditions (the Terms). Please note that in some pages on the Site there may be additional terms and
conditions, all of which are incorporated by reference into the Terms. Terms may be changed or updated at any time

When you enter and use the Site, you indicate that you agree with the Terms and you will be bound by and subject to
these terms. Your acceptance of the Terms creates a binding legal agreement between you and iViioo, Inc. that you
will use the Service and ensure your manner is consistent with the Terms.
DO NOT ENTER THE SITE OR USE THE SERVICE IF YOU DO NOT AGREE WITH THE TERMS. When you use the Site and its services,
you indicate that you agree to comply with the Terms
Terms of Service Use
The iViioo website (the Site), which you can access after Signing Up as a Recruiter, Hiring Organization enables the
You and Your Organization to use live video capture technology to conduct an online-computer-based video interview
with Candidates by setting up screening processes and entering questions. A Candidate will agree to use a webcam to
record online streaming audio or video (the Content) in order to present him or her self. The Recruiters and Hiring
organization can then access the Content via the Site. The Site s service use (referred to as Service Use) is only
available for Recruiters or human resource personnel over 18 years old. As our Service User, you will submit true,
accurate, current and complete information.
Conduct of Recruiters and Hiring Organization
Upon acceptance of the Terms, you agree not to misuse this Service to process or store any Prohibited Content on our
Site. Prohibited Content includes but is not limited to any of the following types of Content: 1) Copyrighted
material that is not authorized by the content owner, or whose content violates or encroaches on the rights of
others; 2)Content that is pornographic, offensive, obscene, defamatory, abusive, deceptive, slanderous,
inappropriate, discriminative, or otherwise advocating of any illegal activity; 3) Disruptive content or other
digital material that contains computer and Internet viruses, worms, corrupt files, Trojan horses and other harmful
content that compromise the iViioo Service.
iViioo, Inc. is the only party that can examine and determine whether Content is Prohibited. You agree that iViioo
can verify all Content submitted to the Service and has the absolute right (but not the obligation) to remove,
erase, and edit materials for any reason, at any time, without notice.
As our site user, you acknowledge and agree that all Content (both private and public) that is posted and stored on
the Site is the sole responsibility of the person who submitted the Content when they access the Site and/or use the
Service. iViioo, Inc. (iViioo), including its directors, managers, employees, affiliates and agents, in no event
shall be liable for claims related to any Content on or through the Service, including but not limited to errors or
omissions in such Content, and damages or loss incurred that may result from using such Content.
You agree and acknowledge that iViioo may terminate all or any part of your Service Use and delete or discontinue
any Content including, but not limited to, any and all Content, communications, information, or any other content
within the Service, at any time, without notice, for any reason, including but not limited to 1)Conduct violating
these Terms, other policies, or guidelines set by iViioo; 2) Conduct that iViioo believes is harmful to other iViioo
users, customers, clients, or partners, the iViioo business, the business of the Hiring Organization, or other third
party information providers;
You also agree that iViioo shall not be liable to you or any third-party for any termination of your access to the
Service.
The Site and the Service are protected by international copyright laws and US copyright laws, and by other
applicable laws. You accept that any use of this Site is for the purpose of setting up legitimate recruiting process
and conducting interviews with legitimate Candidates. You agree that you will not decompile, replicate, and reverse
engineering any part of the Site for purposes such as construction of a competitive site or service, or other
unauthorized use.
Authorized Use of Content
Because our system has to perform video capturing, skill assessment, and conduct video/onsite interview scheduling
with the Candidate, we need the rights authorized by you and your organization so that our system can make use of
the interview questions, the customized process settings, and other information you provide when using the Services,
based on and subject to these Terms. As a condition to your Service, you hereby grant iViioo a perpetual, universal,
nonexclusive right to copy, display, modify, transmit, make derivative works of and distribute any Content or other
information provided to the Service by you, for the purpose of managing your recruiting process, delivering your
interview to legitimate Candidates, and obtaining their online interview and delivering it to you and your
organization. You agree to take all reasonable measures to restrict distribution of the Content to only those
individuals who have a legitimate need to review the Content for the purpose of evaluating the Candidate for a job.
You represent and warrant to iViioo that you are the person who registered on the Site.
Resale of Services
You agree to notify iViioo and sign a dealer agreement as a reseller/distributor of our services. Without our
permission, you agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Service, use of the
Service, or access to the Service for any commercial purposes. You will only use the Service only to manage
recruiting process, to create interviews, to send interviews and review the results of the interviews for the
purpose of evaluating candidates for potential employment or hire.
No Use for Discrimination
You agree that you will respect the Equal Employment Opportunity (EEO) when using the service. You agree that you
will use the Service based on the same human resource policies to ensure that candidates are not in any way
discriminated against for any reason.
No Unauthorized Modification or Forwarding of Content
You agree that you will not give access or forward any part of the Content except to people who have a legitimate
role/interest in hiring the Candidate. You also agree that you will never forward the Content to any public site
such as HotJobs, Monster, YouTube, CareerBuilders or any other site unless explicitly authorized by iViioo.
Privacy Policy
iViioo and its service representatives respect your privacy. Please see our Privacy Policy if you need further
information.
Warranty Disclaimer
You agree that your use of the Service shall be at your sole risk. To the fullest extent permitted by law, iViioo,
its officers, directors, employees and agents disclaim all warranties, express or implied in connection with the
site and your use thereof. iViioo makes no warranties or representations about the accuracy or completeness of this
site s content or the content of any sites linked to/from this site, and assumes no liability or responsibility for
any 1) errors, mistakes, or inaccuracies of content 2) personal injury or property damage resulting from your access
to and use of the Services 3) any unauthorized access to or use of our servers and/or any personal information
and/or financial information stored in the servers 4) any interruptions or cessation of transmission to/from our
site 5) any bugs, viruses, Trojan horses, or the like which may be transmitted to/through our site by any third
party, and/pr 6) any errors of omissions in any content or for any loss/damage of any kind incurred as a result of
use the Service, including its contents. iViioo does not warrant, endorse, guarantee or assume responsibility for
any product or service advertised or offered by a third party through the interview on demand services or any linked
site or featured any any banner or other advertising. iViioo will not be a party to or in any way be responsible for
monitoring any transaction between you and third party providers of products or services. As you purchase a
product/service you should use your best judgment and exercise caution where and when it is appropriate.
Limitation of Liability
Shall iViioo, its officers, directors, employees, or agents be liable to you for any direct, indirect, incidental,
special, punitive, or consequential damages whatsoever resulting from any 1) errors, mistakes, or inaccuracies of
content 2) personal injury or property damage resulting from use of the site, 3) unauthorized access to our servers
or any personal information, financial information, 4) any interruption or cessation of to/from our site 5) any bugs
viruses, Trojan horses, or the like, which may be transferred to/through our site 6) any errors or omissions in any
content for any loss or damage or any kind incurred due to your use of any content on the Service or through our
site, the foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable
jurisdiction. You acknowledge that iViioo should not be liable for user submissions or the defamatory, offensive or
illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.
The site is managed and offered by iViioo from its facilities. Those who access or use iViioo services from around
the world do so at their own risk and are responsible for compliance with local laws.
Defense and Indemnity
You agree to defend, indemnify and hold harmless iViioo, Inc, its corporation, officers, directors, employees, and
agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses,
including but not limited to attorney s fees, arising from your 1) use of and access to iViioo services; 2)
violation of any term of services; 3) violation of any third party right, including but not limited to copyright,
property, or privacy right; or 4) claim that the content you owned caused damage to a third party. You fully agree
that these defense and indemnification obligations will hold true during your use of iViioo s services.
Ability to Accept Terms of Services
As a user you have to be more than 18 years of age, and are fully able and competent to enter into the binding
agreement set forth in these Terms of Service such as the terms, obligations, conditions, representations, and
warranties. You will be abide by and comply with these Terms of Service.
Assignment: These Terms of Service, and any rights and may be only assigned by iViioo without restriction and not by
any party, including you and your organization.
Legal Agreement on General Items
You agree that: Any claim or dispute between you and iViioo that arises in all or in part from iViioo Service shall
be decided exclusively by a court of iViioo s choice. The Terms, the Privacy Policy and any other legal notices
published by iViioo on the Site is the entire agreement concerning the Service. iViioo reserves the right to amend
these Terms of Service at any time without notice. You agree that you will review the Terms for any changes. Your
use of iViioo Service, and any future amendment of these Terms of Service will indicate your acceptance of its
revised terms. You agree any claim or cause of action arising out of or related to use of the Service or the Terms
must be filed within 3 months after such claim or cause of action arose or be forever barred, regardless of any
statute or law to the contrary.
Modification of Terms
iViioo reserves the right to amend the Terms at any time, without notice, and for any reasons. You agree that iViioo
has the right to terminate all or any part of the Service and any change of terms made by iViioo shall be
prospective only.
Reporting Violations
